Terms of Use

Last Revised: September 2024

PLEASE READ THESE TERMS OF USE CAREFULLY. ACCESSING OR USING THIS WEBSITE CONSTITUTES ACCEPTANCE OF THESE TERMS OF USE (“TERMS”), AS SUCH MAY BE REVISED BY VAS (VALUE ADDED SERVICE) CONSULTS (U) LIMITED FROM TIME TO TIME, AND IS A BINDING AGREEMENT BETWEEN THE USER (“USER” OR “YOU”) AND VAS (VALUE ADDED SERVICE) CONSULTS (U) LIMITED (D/B/A VAS CONSULTS) GOVERNING THE USE OF THE WEBSITE. IF USER DOES NOT AGREE TO THESE TERMS, USER SHOULD NOT ACCESS OR USE THIS WEBSITE. THESE TERMS CONTAIN DISCLAIMERS AND OTHER PROVISIONS THAT LIMIT OUR LIABILITY TO USER.

About these Terms

These Terms of Use govern access to websites, applications, portals, APIs and other digital services operated by VAS Consults Ltd in Uganda (VAS, we, us or our). They apply to visitors, customers, business users and authorised representatives. References to Services mean the VAS services you actually access; describing a service does not mean it is available to every user or in every location.

By using the Services, you agree to these Terms to the extent they apply to that use. Where registration, a purchase or another transaction requires express acceptance, you must complete that acceptance before proceeding. If you do not agree, do not use the relevant Services. You may save or print these Terms.

Our Privacy Policy explains personal data processing. Our Cookies Policy explains cookies and similar technologies. Our Acceptable Use Policy sets standards of conduct. Our Platform & Wallet Terms apply to accounts, rewards, vouchers, service credits and enabled transaction features. A privacy notice is not a request for blanket consent: where consent is required, we will obtain it separately.

Which terms apply

Mandatory law takes priority. A separately signed agreement with VAS governs the services it expressly covers. The Platform & Wallet Terms govern their specific subject matter, followed by these Terms and the Acceptable Use Policy. Offer, campaign or subscription conditions apply only to the relevant offer, campaign or subscription and cannot remove mandatory rights or retrospectively take away an entitlement already earned. Third-party provider terms govern that provider’s services, not our independent obligations.

The Privacy Policy governs how we handle personal data and cannot be overridden by a general commercial disclaimer. Where a school, employer, institution or programme sponsor provides access, its agreement may govern the institutional service, while these Terms govern your permitted use.

Eligibility and representation

You must be at least 18 and legally able to contract to open an independent account or purchase a service. A business representative must have authority to act for that organisation. An organisation is responsible for managing permissions given to its staff and notifying us when access should be withdrawn.

Children may use only services expressly made available for supervised educational or other age-appropriate use. The necessary parent, guardian or other legally authorised person’s permission must be obtained. A school’s involvement does not automatically replace legally required parental or guardian consent. Financial features for children require a specifically supported arrangement and the relevant provider’s eligibility checks.

Do not use a service where applicable law prohibits your use. You must give accurate information and keep material account and contact details current.

Our Services

VAS provides technology and related services that may include rewards and loyalty, vouchers, workforce connections, agricultural systems, AI and data tools, digital learning, device lifecycle services and technology infrastructure. Product descriptions explain the particular service, its supplier, price and availability.

Online information is general unless expressly included in a quotation or contract. A request, enquiry or indicative valuation is not an accepted order. The applicable checkout, order confirmation or signed service agreement will explain when a contract is formed. An automated acknowledgement confirms receipt only unless it expressly accepts the order.

Project photographs, impact information and case studies describe the activity identified. They do not promise identical outcomes for another customer. References to partners, public bodies or standards do not imply an endorsement, approval, certification or licence beyond what is expressly stated and verifiable.

Accounts and security

Keep passwords, PINs, one-time codes, API keys and recovery information confidential. Use authorised organisational access rather than sharing a personal account. Tell us promptly about a lost device, compromised credentials, unexpected transactions or a change of ownership of a registered telephone number.

You are responsible for actions you authorise and for reasonable precautions against misuse. Account access alone does not conclusively prove that you authorised a disputed action. Responsibility for unauthorised activity will be assessed under applicable law, the relevant provider terms and the evidence, including any failure by VAS or its providers.

We may require proportionate verification before granting access, changing sensitive details or recovering an account. We will not ask you to disclose your mobile money PIN, banking password or one-time authorisation code to a member of staff or agent.

Orders charges and consumer rights

Before you commit to a paid service, the transaction information must identify the supplier, main features, total price, applicable taxes and charges, payment method, delivery or performance arrangements and relevant cancellation and refund conditions. You must have an opportunity to review the transaction, correct mistakes and withdraw before submitting it.

We will honour applicable cancellation, delivery and refund rights under Uganda’s Electronic Transactions Act and other applicable law. Where the statutory cancellation right applies, a consumer may cancel within seven days after receipt of the goods or services, or within seven days after conclusion of the agreement, as applicable, and receive the refund required by law within thirty days of cancellation. Only lawful return costs may be deducted or charged. Other statutory cancellation rights may apply where required supplier information or ordering safeguards were not provided.

Unless a different performance period is agreed, the statutory default period for executing an electronic order is thirty days. Statutory notice and cancellation rights apply if an order is late. If the supplier cannot supply the ordered goods or services because they are unavailable, the supplier must notify the consumer and make the refund required by law. A transaction label such as promotional, discounted or non-refundable does not remove mandatory rights.

Service-specific terms explain any legally applicable exceptions or additional rights. If VAS is the supplier, we are responsible for our supply. If a named merchant or other provider is the supplier, its supply obligations remain its own, while VAS remains responsible for obligations we expressly undertake and for our own acts and omissions.

Intellectual property and permitted use

VAS and its licensors own the software, designs, text, logos and other materials we make available, except material identified as belonging to others. You receive a limited, non-exclusive permission to use the Services as intended and to save reasonable copies of public information for lawful personal or internal business reference, retaining ownership notices.

You may not resell access, copy substantial platform materials, misuse branding, bypass access controls or reverse engineer software except where law gives a right that cannot be restricted. Open-source components and expressly licensed materials remain subject to their applicable licences. No ownership of VAS intellectual property transfers to you.

Content you provide

You retain ownership of content you submit. You must have the rights and lawful authority to submit it, including permission to provide other people’s personal data. You grant VAS a non-exclusive licence to host, copy, transmit, format and display that content only as reasonably necessary to provide, secure and support the requested Services and carry out your instructions. Service providers may exercise that licence only on our behalf and subject to appropriate restrictions.

Public content may be seen or copied by others. Private submissions do not become public merely because you upload them. We will not use confidential customer documents or private content in public advertising or to train a general-purpose AI model without a separate lawful basis and any required permission.

The licence ends when the content is removed, except to the limited extent needed for lawful retention, backups, existing authorised distribution or unresolved matters. Feedback may be used to improve the Services without payment, but this does not transfer ownership of your confidential information or personal data. Keep copies of important content; any agreed backup or retention obligations still apply to VAS.

AI information and third-party services

AI outputs can contain errors, omissions or outdated information. Review outputs before relying on them, especially for financial, legal, medical, agricultural or other consequential decisions. Educational tools do not guarantee examination results, qualifications or employment. Do not submit confidential information or personal data to a tool unless you are authorised and the service permits that use.

External websites, merchants, workers, schools, payment providers and other third parties may have their own terms and privacy notices. We will identify the relevant third-party role where it affects a transaction. A link or listing is not a guarantee of a third party’s performance. This does not exclude our responsibility for our own representations, selection duties where applicable, or agreed services.

Physical services and device disposal

Equipment collection, buyback, refurbishment, secure erasure, destruction and e-waste services require an accepted quotation, collection record or service agreement defining scope, ownership, custody, data handling, valuation and deliverables. These website Terms alone do not transfer title to equipment or certify its sanitisation or recycling.

Before handover, you must have authority to release the equipment and identify any known hazards or handling restrictions. Back up information you need and disclose relevant access or encryption restrictions through an approved secure process. Erasure or destruction results and certificates are governed by the agreed method and verification, rather than by a general promise that all device data can always be recovered or erased.

Availability suspension and closure

We may maintain, update or change Services and may restrict access to address a security risk, material breach, unlawful use or legal requirement. We will act proportionately and, where lawful and practical, explain the reason, give notice and allow a reasonable opportunity to correct a remediable breach. Immediate action may be necessary to protect people, systems or funds, or comply with law.

We will give reasonable advance notice of a material discontinuation where practical and explain arrangements for outstanding orders, data access and valid balances. Suspension or closure does not automatically cancel a refund, payment obligation or lawful entitlement. The Platform & Wallet Terms govern settlement of platform balances. You may stop using the Services or request account closure through support.

Warranties and liability

We will provide our Services with reasonable care and skill and honour express contractual and statutory obligations. Except for those obligations and to the extent permitted by law, we do not guarantee uninterrupted access, error-free content or suitability for every purpose. We will take reasonable steps to address failures within our responsibility.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of non-excludable data protection or consumer duties, or anything else that cannot lawfully be excluded or limited. An obligation to repay, refund or account for money or other value lawfully due is not reduced by a general liability cap.

Subject to those protections, neither party is liable for indirect or consequential loss or, in a business relationship, lost profit, revenue or business opportunity arising from use of the Services. A consumer’s reasonably foreseeable direct loss is not excluded merely because it relates to data or a transaction.

For a business user’s claim, and only to the extent permitted by law, our aggregate liability arising from the relevant Service in any twelve-month period is limited to the greater of UGX 1,000,000 and the fees paid or payable to VAS for that Service during the preceding twelve months. This cap does not apply to a consumer claim, the exceptions above or a different allocation in a signed agreement.

A business user must reimburse reasonable, evidenced third-party claims and costs caused by its unlawful content, fraud or deliberate material breach, to the extent of its responsibility. This does not cover loss caused by VAS or require a consumer to indemnify us merely for using the Services. We will give notice of a claim and a reasonable opportunity to participate in its defense, and will not agree a settlement imposing an admission or non-monetary obligation on you without consent.

Changes notices and general provisions

We may update these Terms and will show the revision date. Material changes will be notified through the relevant Service or your contact details, normally at least thirty days before they apply. A shorter period may be necessary for legal or urgent security reasons, which we will explain where lawful. Changes operate prospectively and do not remove accrued rights. We will seek fresh acceptance where required; continued use is not a substitute for legally required consent.

We may send service notices electronically to your registered contacts or through the Service. Marketing preferences are separate. A failure to enforce a provision is not a waiver. If a provision is unenforceable, the remainder continues insofar as it can operate lawfully. Neither party may transfer obligations in a way that unlawfully reduces the other’s rights. If VAS transfers a service contract, we will protect existing rights and give any required notice.

These Terms and the applicable documents identified above form the agreement for the relevant online use. They do not replace a signed agreement outside their scope or exclude liability for misrepresentation that cannot lawfully be excluded. Provisions intended to apply after closure continue only as necessary, including lawful payment, confidentiality, intellectual property, retention and dispute obligations.

Complaints, governing law and contact

Contact VAS at info@vasconsults.com, stating the service, issue, relevant dates and reference numbers. Do not send passwords, PINs or complete payment credentials. We will investigate and explain the outcome and any available escalation route.

Ugandan law governs these Terms. The parties will first try to resolve a dispute in good faith, but this does not delay urgent relief or mandatory complaint deadlines. The competent courts of Uganda may hear disputes, subject to any mandatory jurisdiction or consumer rights. Arbitration applies only if separately agreed in writing; these Terms do not impose compulsory arbitration or waive a right to approach a regulator.
